Response Time (On site) : One Week (max) in case of remote location and outstation customers.
Non AMc customers : Software changes may need additional 72 hrs as the software is not available on Live Server.
Non AMc customer - Additional Software holding charges will be applicable in case of any changes in software required.
The above rate is only service charges, Any modification/alteration in the software will be charged extra, depending upon requirement
All disputes subject to Delhi jurisdiction.

SOFTWARE SUPPORT AGREEMENT

Agreement between VNV Software Pvt. Ltd., New Delhi, (hereinafter referred to as VNV) and M/s ________________________________________________________________________ for Support of VNV ERP Software Installed at _____________________________________ ____________________________________________________________________________ with the following terms and conditions :-

1. This agreement shall remain in force initially for one year from the _____________________ and shall automatically stands renewed after the completion of one year unless notice in writing is given to the contrary by either party at least one month in advance.

2. The annual maintenance charges will be as below based on payment terms, payable in advance at the time of commencement of annual maintenance contract is Rs __________/- payable _Monthly/Qtrly/Half yearly/Annually.

3. Support for VNV ERP Software includes Renaming / Repositioning of fields, all bug correction activity as and when reported and any malfunction related to VNV ERP during the support period. Bug correction activity will be carried out at our development center only and would be delivered to above address as modified versions basis.

4. Any Designing of New reports, New fields or New requirement, Additions, Modification of Govt norms, Changes in Govt forms, and Up-gradation of software will be charged as per the standard cost or upgrade charges.

5. Services Can be availed by the client on all working days ie Monday to Saturday between ( 10.am to 5.30 Pm).

6. SSP Charges is valid for the above-mentioned Address. Any Change in location, Charges can be revised.

7. Minor enhancements in the software could also be done with in the SSP Charges but will be solely on the discretion of VNV to call such an enhancement as a minor one and non extra chargeable.

8. No other terms and conditions acceptable until agreed upon in writing.

9. VNV is not liable for Data losses at customers site due to what so ever reason as this contract is only for supporting for new requirement and queries related to the existing software.
